CPIL is committed to conducting its business operations in accordance with applicable Indian laws, industry standards, Meta Business Policies, WhatsApp Business Terms of Service, Google RCS Business Messaging requirements, and all relevant telecommunications regulations.

These Terms constitute a legally binding agreement between CPIL and any individual, business entity, organization, or user utilizing our services.


2. Definitions

For the purposes of these Terms:

  • “Company”, “We”, “Us”, or “Our” refers to CPIL.

  • “RCS Services” means Rich Communication Services provided through supported telecommunications and messaging networks.

By using CPIL services, you confirm that:

  • You have legal capacity to enter into binding agreements.
  • You agree to comply with these Terms.
  • You agree to comply with all applicable laws and regulations.
  • You acknowledge that continued use constitutes ongoing acceptance of these Terms.

Failure to comply with these Terms may result in suspension, restriction, or termination of access.


4. Description of Services

CPIL may provide:

  • Customer support communications.
  • WhatsApp Business messaging.
  • RCS messaging services.
  • Information and promotional communications.
  • Customer engagement solutions.

CPIL reserves the right to modify, suspend, discontinue, or update any service without prior notice where permitted by law.


5. Eligibility

To use our services, you must:

  • Not be prohibited from using such services under applicable law.

Businesses registering with CPIL represent that they are legally established entities authorized to conduct business activities.

Users remain solely responsible for all content and communications transmitted through our services.


8. Payment and Billing Terms

  • Payments must be made through authorized channels.
  • Taxes applicable under Indian law may be charged.
  • Late payments may result in suspension.
  • CPIL may revise pricing with reasonable notice.

Unless otherwise specified, all payments are non-refundable after successful service delivery.

Billing disputes must be reported within thirty (30) days of invoice issuance.


9. Subscription Renewal and Termination

If services are subscription-based:

  • Subscriptions may renew automatically.
  • Users may cancel before renewal dates.
  • Termination does not relieve outstanding payment obligations.

CPIL may suspend or terminate accounts if:

  • Terms are violated.
  • Fraudulent activity is detected.
  • Legal requirements necessitate termination.
  • Service misuse is identified.

Upon termination, access to services may cease immediately.


10. Use of WhatsApp Official API and RCS

CPIL may communicate using:

  • WhatsApp Business Platform.
  • WhatsApp Official APIs.
  • Google RCS Business Messaging.
  • Telecom operator messaging systems.

Users expressly consent to receiving:

  • Service notifications.
  • Transactional updates.
  • Customer support messages.
  • Business communications.

Users acknowledge that messaging services are additionally governed by Meta and Google policies.

Users shall not use our services to:

  • Send unlawful content.
  • Deliver prohibited communications.
  • Engage in deceptive practices.
  • Violate Meta or Google messaging guidelines.

11. Message Delivery and Compliance Policy

CPIL makes reasonable efforts to facilitate message delivery.

However:

  • Delivery is dependent on third-party networks.
  • Delivery timing cannot be guaranteed.
  • Technical interruptions may occur.

Messages may be blocked, delayed, filtered, or rejected due to:

  • Regulatory requirements.
  • Telecom restrictions.
  • Meta platform enforcement.
  • Google RCS policies.
  • Recipient device limitations.

Users must ensure that recipients have provided valid consent where required.


12. Intellectual Property Rights

All content, branding, trademarks, software, logos, designs, databases, and materials provided by CPIL remain the exclusive property of CPIL or its licensors.

Users receive a limited, revocable, non-exclusive license solely for authorized use.

Users may not:

  • Copy content.
  • Modify content.
  • Reverse engineer software.
  • Reproduce materials.
  • Sell proprietary information.

Unauthorized use may result in legal action.


13. Confidentiality

Users may obtain access to confidential information during use of services.

Confidential information includes:

  • Commercial information.
  • Customer records.
  • Proprietary systems.

Users agree not to disclose confidential information without prior written consent.

Confidentiality obligations survive termination of these Terms.


14. Disclaimer of Warranties

  • Error-free performance.

  • Guaranteed business outcomes.

To the maximum extent permitted by law, all implied warranties are disclaimed.


15. Limitation of Liability

To the fullest extent permitted under Indian law:

CPIL shall not be liable for:

  • Indirect damages.
  • Consequential losses.
  • Lost profits.
  • Business interruption.
  • Data loss.
  • Reputational damage.

Total liability shall not exceed amounts paid by the user for services directly giving rise to the claim.

Nothing herein limits liability where limitation is prohibited by law.


16. Indemnification

Users agree to indemnify and hold harmless CPIL, its directors, employees, contractors, affiliates, and representatives against any claims, damages, liabilities, losses, expenses, and legal costs arising from:

This obligation survives termination.


17. Governing Law (India)

These Terms shall be governed and interpreted according to the laws of India.
